1. Introduction
These Terms of Use (“Terms”) govern access to and use of the services, technology platform, websites, applications, APIs, and related financial technology infrastructure operated by Ironbit Spółka z ograniczoną odpowiedzialnością, trading as iWallet (“iWallet”, “Company”, “we”, “us”, or “our”).
By accessing or using the Services, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
These Terms constitute a legally binding agreement between you and iWallet.
2. Definitions
For purposes of these Terms:
“Services” means the iWallet platform and all related digital financial infrastructure, including software, applications, APIs, integrations, and associated functionality made available by the Company.
“Platform” means the proprietary technology infrastructure operated by iWallet, including backend systems, user interfaces, integrations, and operational tools.
“User”, “you”, or “your” means any individual or legal entity accessing or using the Services.
“Client” means a business customer or white-label partner authorized to use or distribute Services under a commercial agreement with iWallet.
“Applicable Law” means all laws, regulations, directives, regulatory requirements, and industry standards applicable to the User or the Services.
3. Eligibility
To use the Services:
Individuals must be at least eighteen (18) years of age and legally capable of entering binding agreements.
Legal entities must be duly incorporated, validly existing, and authorized to conduct business under applicable laws.
Users must successfully complete any onboarding, verification, or compliance procedures required by iWallet or its regulated partners.
iWallet reserves the right to refuse access where eligibility or compliance requirements are not satisfied.
4. Description of Services
iWallet provides financial technology infrastructure and related digital services, which may include:
multi-currency account infrastructure;
payment processing and payment rail integrations;
card issuing and payment card program support;
digital asset wallet integrations and fiat-to-crypto on/off-ramp connectivity;
identity verification (KYC/KYB) onboarding modules;
administrative dashboards, analytics, and reporting tools;
API-based financial infrastructure for business clients.
Services may vary depending on contractual arrangements, jurisdictional limitations, and regulatory requirements.
iWallet does not itself provide regulated banking services unless expressly stated and may rely on licensed third-party financial institutions or service providers.
5. User Obligations
You agree to:
use the Services solely for lawful and legitimate purposes;
provide accurate, complete, and up-to-date information at all times;
maintain the confidentiality and security of login credentials, API keys, and access permissions;
comply with all Applicable Laws, including AML/CTF and sanctions regulations;
promptly notify iWallet of any unauthorized access or security incident.
You remain fully responsible for all activities conducted through your account or technical integrations.
6. Intellectual Property Rights
All intellectual property rights in the Services and Platform, including software, source code, designs, trademarks, databases, and documentation, remain the exclusive property of iWallet or its licensors.
Except as expressly permitted in writing, you shall not:
copy, reproduce, modify, or distribute the Platform;
reverse engineer, decompile, or attempt to extract source code;
create derivative works based on the Services.
No rights are granted except those expressly set out in these Terms.
7. Data Protection and Privacy
iWallet processes personal and business data in accordance with applicable data protection legislation, including the General Data Protection Regulation (EU) 2016/679 (GDPR) and applicable Polish law.
Details regarding data processing are set out in the iWallet Privacy Policy.
Clients operating white-label implementations remain independently responsible for ensuring lawful processing of their end-user data.
8. Service Availability and Modifications
iWallet will use commercially reasonable efforts to maintain platform availability but does not guarantee uninterrupted or error-free operation.
We may:
modify, enhance, or update the Services;
introduce new features or discontinue existing functionality;
perform scheduled or emergency maintenance.
Temporary service interruptions may occur without prior notice where necessary for security, operational, or regulatory reasons.
9. Fees and Payments
Fees applicable to the Services are defined in the relevant commercial agreement or pricing schedule.
Unless otherwise agreed:
invoices must be paid within the stated payment terms;
overdue payments may result in suspension or restriction of Services;
iWallet reserves the right to charge statutory interest on late payments where permitted by law.
10. Third-Party Providers
The Services may involve integrations with third-party institutions, including banks, payment networks, identity verification providers, or digital asset service providers.
iWallet:
does not control such third parties;
does not guarantee their performance or availability;
shall not be liable for losses arising from their actions, failures, or regulatory decisions.
11. Prohibited Activities
You must not use the Services to:
violate Applicable Law;
facilitate fraud, money laundering, terrorist financing, or sanctions evasion;
transmit malicious code or compromise system security;
interfere with or disrupt platform operations;
misrepresent identity or authorization.
iWallet may immediately suspend or terminate access where prohibited use is suspected.
12. Limitation of Liability
To the maximum extent permitted by law, iWallet shall not be liable for:
indirect, incidental, consequential, or punitive damages;
loss of profits, revenue, data, or business opportunities;
service interruptions caused by third parties or regulatory actions.
iWallet’s aggregate liability arising under these Terms shall not exceed the total fees paid by the User to iWallet during the twelve (12) months preceding the claim.
Nothing in these Terms excludes liability where exclusion is prohibited by Applicable Law.
13. Suspension and Termination
iWallet may suspend or terminate access to the Services where:
these Terms are breached;
required by law, regulation, or competent authority;
fees remain unpaid;
continued provision presents compliance, legal, or risk concerns.
Upon termination, access rights cease immediately and all outstanding obligations remain payable.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Poland, unless otherwise required by mandatory law.
15. Amendments
iWallet may amend these Terms from time to time.
Where material changes are made, reasonable notice will be provided. Continued use of the Services following publication of updated Terms constitutes acceptance of the revised Terms.
